1 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and WapiConnect ("we", "us", or "our") governing your use of the WapiConnect platform, API, dashboard, and all related services (collectively, the "Service").

By registering an account, accessing the API, or making a payment, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2 Description of Service

WapiConnect provides a WhatsApp API platform that enables businesses and developers to send and receive WhatsApp messages, deliver OTP/verification codes, automate messaging workflows, run bulk broadcast campaigns, and integrate WhatsApp communication into their own applications via REST API.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

3 Account Registration

• You must provide accurate, complete, and up-to-date information during registration.
• You are responsible for maintaining the confidentiality of your account credentials and API keys.
• You must not share your account or API keys with unauthorized third parties.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old to create an account.
• Notify us immediately at support@wapiconnect.com if you suspect unauthorized account access.

4 Acceptable Use Policy

You agree to use WapiConnect only for lawful purposes. You must not use our Service to:

• Send spam, unsolicited bulk messages, or messages to contacts who have not opted in.
• Send content that is illegal, harmful, abusive, defamatory, obscene, or fraudulent.
• Transmit malware, phishing links, or any content intended to deceive users.
• Impersonate any person, company, or brand.
• Violate any applicable law, regulation, or third-party rights.
• Attempt to circumvent API rate limits, security controls, or access restrictions.
• Resell or sublicense the Service without express written permission from us.
• Use the Service in a way that degrades performance for other customers.

5 Subscription & Billing

WapiConnect offers monthly subscription plans. By subscribing, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

• Subscriptions begin on the date of purchase and are valid for 30 days.
• All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
• We reserve the right to change subscription prices with 14 days' notice to registered users.
• Failure to pay may result in suspension of your account and API access.
• You may cancel your subscription at any time, but cancellation takes effect at the end of the current billing cycle.

6 No Refund Policy

7 Free Trial

New accounts are eligible for a one-time 7-day free trial that allows you to send up to 50 messages at no charge. No credit card is required for the trial period.

• The free trial is limited to one per person, phone number, and business entity.
• Creating multiple accounts to extend trial access is a violation of these Terms.
• Trial accounts that are found to be abusive may be terminated without notice.
• Once the trial expires, you must subscribe to continue using the Service.

8 API Usage & Limits

Each subscription plan includes defined message limits (sent and received per day) and a maximum number of active WhatsApp sessions. Exceeding these limits may result in throttled delivery or temporary API access restrictions.

• API rate limits exist to ensure fair usage and platform stability for all customers.
• Unused message quota does not carry over to the next billing period.
• We reserve the right to adjust limits with notice to prevent abuse.
• Programmatic attempts to bypass rate limits will result in account termination.

9 WhatsApp Compliance

WapiConnect operates using WhatsApp's multi-device infrastructure. You acknowledge and agree that:

• Your use of WapiConnect must comply with WhatsApp's own Terms of Service and policies.
• WhatsApp may at any time ban or restrict phone numbers used on our platform.
• WapiConnect is not liable for WhatsApp account bans resulting from your usage patterns.
• You are solely responsible for obtaining consent from recipients before messaging them.
• We do not guarantee delivery of messages as WhatsApp delivery is outside our direct control.

10 Intellectual Property

All content, branding, software, APIs, documentation, and materials on the WapiConnect platform are the intellectual property of WapiConnect and are protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your own business purposes during your active subscription. You may not copy, reverse-engineer, or redistribute any part of our Service.

11 Suspension & Termination

We reserve the right to suspend or terminate your account immediately and without notice if:

• You violate any provision of these Terms or the Acceptable Use Policy.
• Your account is used for spam, fraud, or illegal activity.
• We receive credible reports of harm caused by your usage.
• You fail to make payment when due.
• We are required to do so by law or regulatory authority.

Upon termination, your access to the Service will cease immediately. No refunds will be issued upon termination, regardless of the reason. You may terminate your account at any time via the dashboard; however, no refund will be provided for the remaining subscription period.

12 Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Message delivery depends on WhatsApp infrastructure and network conditions outside our control.

13 Limitation of Liability

To the maximum extent permitted by applicable law, WapiConnect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount paid by you to WapiConnect in the 30 days immediately preceding the claim.

14 Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

Before initiating any legal action, you agree to first attempt to resolve the dispute informally by contacting us at legal@wapiconnect.com. We will endeavor to resolve disputes within 30 days.

15 Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered users via email.

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
